Share register - new and changed transactions

Partial Liquidation (Equal Distribution - Remaining Ownership) - If the shareholders still hold shares, the remaining paid-in capital, including any premium, will be transferred to the shareholders’ other shares

  • Partial liquidation (equal distribution - pro-rata ownership) upon share capital reduction to 0 with subsequent new share issuance
    • The transaction Partial liquidation (equal distribution - pro-rata ownership) has new columns showing forfeited paid-in share capital and premium.

    • The transactions New issue (with issuance of new shares) and New issue by conversion of claim have new columns to register paid-in share capital and premium transferred from liquidated shares.

Adjustment of paid-in share capital, including premium

A new transaction type Adjustment of paid-in share capital and paid-in premium has been added, allowing for the adjustment of paid-in share capital and paid-in premium for each individual share interval at a specified time.

Shareholder loans

History transactions have been expanded to allow for the registration of the size of shareholder loans at the historical point in time. The transaction for the transfer of shares by inheritance has been adjusted, making it now possible to register the size of shareholder loans that transfer from the testator to the recipient of the inheritance.

Deletion of own shares to cover losses or allocation to funds, acquired through equal acquisition from shareholders

A new transaction type Deletion of own shares to cover losses or allocation to funds, acquired through equal acquisition from shareholders has been introduced. By using this transaction type when deleting shares, paid-in share capital and premium can be reallocated to the shareholders who transferred the shares to the company. This allows for the reallocation of paid-in share capital and premium to the shareholders, as permitted by tax law after a write-down of own shares through equal transfer from shareholders to the company.

Liquidation

The liquidation transaction has been renamed to clarify its application. The name is now Liquidation (dissolution of company, including bankruptcy).
